The Notes are an unregulated, non-transferable investment. They may only be promoted to certified high net worth individuals (art. 48) and self-certified sophisticated investors (art. 50A) under the Financial Promotion Order 2005. Select the category you certified under, and confirm the condition that applies to you. Your statement is valid for twelve months and it is an offence to make one that is false or misleading.

Certified High-Net-Worth Individual

In the last financial year I had an income of £100,000 or more, or I held net assets of £250,000 or more throughout the year — excluding my primary residence and any loan secured on it, my pension rights, and rights under a contract of insurance or payable on death or terminal illness.

Self-Certified Sophisticated Investor

At least one of the following applies to me: I have been a member of a business angel network or syndicate for the last six months; I have made more than one investment in an unlisted company in the last two years; I have worked in the last two years in a professional capacity in private equity or in the provision of finance to SMEs; or I am, or have in the last two years been, a director of a company with an annual turnover of at least £1 million.

Professional Client / Eligible Counterparty

I am a person to whom this promotion may lawfully be communicated on another basis under the Financial Promotion Order — for example an investment professional (art. 19) or a high net worth company or unincorporated association (art. 49). We will ask you to evidence this before proceeding.
